GLOBAL SHARIAH-COMPLIANT TERMS OF SERVICE & USER AGREEMENT

(Loyalty Reward Point Hybrid – LRPH Framework)

1. INTRODUCTION & ACCEPTANCE

This Agreement (“Agreement”) is entered into between:

BNOVA WORLDWIDE SDN BHD (“Company”)
and
Any individual or entity using the BNOVA platform (“User”).

By accessing, registering, or using the BNOVA platform, the User confirms that they:

* Have read and understood this Agreement
* Agree to be legally bound by all terms and conditions
* Accept full responsibility for their participation

2. NATURE OF PLATFORM

BNOVA operates as:

An E-Commerce Platform integrated with a Loyalty Reward Ecosystem

Powered by:

Loyalty Reward Point Hybrid (LRPH) Model

The platform is NOT:

* An investment scheme
* A financial institution
* A deposit-taking entity
* A guaranteed income program

3. SHARIAH PRINCIPLES

The Company operates based on:

* Lawful trade (Bai’ – real product transactions)
* Performance-based rewards (Ju’alah)
* Conditional gifting (Hibah)

The platform strictly avoids:

* Riba (interest)
* Gharar (excessive uncertainty)
* Maysir (gambling)

4. SYSTEM DEFINITIONS

4.1 Reward Unit (RU)

* A digital participation unit allocated through product purchases
* Used solely for internal reward calculations
* Has no fixed monetary value
* Non-transferable and non-tradable

4.2 Reward Phase

* A system-generated reward distribution phase
* Based on actual platform activity
* Timing and occurrence are not guaranteed

4.3 Loyalty Reward Point Hybrid (LRPH)

A hybrid system combining:

* Product-based commerce
* Loyalty reward mechanisms
* Network-based participation

5. REWARD CLASSIFICATION

All rewards are classified as:

* Marketing incentives
* Conditional rewards (Hibah)
* Performance-based rewards (Ju’alah)

Rewards are NOT:

* Investment returns
* Dividends
* Interest-based earnings
* Guaranteed income

6. NON-GUARANTEE CLAUSE

The User acknowledges that:

* Rewards are not guaranteed
* Rewards depend on actual product transactions and system activity
* Rewards may vary, be delayed, or may not occur

7. ELIGIBILITY

Users must:

* Be at least 18 years old
* Provide accurate and truthful information
* Maintain only one account

The Company reserves the right to reject or terminate any account without prior notice.

8. PURCHASE & PAYMENT POLICY

Accepted payment methods include:

* Online banking (FPX or equivalent)
* Payment gateways (e.g. MobilityOne, M1Pay, others)
* Debit or credit cards

Policy:

* All transactions are final and non-refundable
* Any chargeback will result in immediate account suspension and possible legal action

9. WALLET & WITHDRAWAL POLICY

The platform may include a Smart Saving Wallet:

* Used to store eligible rewards
* Rewards are not automatically withdrawable

Withdrawals are subject to:

* System conditions
* Verification procedures
* Compliance review

The Company reserves the right to delay, restrict, or deny withdrawals.

10. ACCOUNT FREEZE, SUSPENSION & TERMINATION

The Company reserves the right to:

* Suspend or terminate accounts
* Freeze rewards or withdrawals

If:

* The account is inactive for 90 days
* Fraud or abuse is suspected
* Any policy violation occurs

11. ANTI-ABUSE POLICY

Strictly prohibited:

* Multiple accounts
* System manipulation
* Use of bots or automation
* Exploitation of reward mechanisms

Violations will result in:

* Immediate forfeiture of rewards
* Account termination

12. ANTI-MISREPRESENTATION POLICY

Users are strictly prohibited from:

* Promoting BNOVA as an investment opportunity
* Claiming guaranteed or fixed income
* Misleading or deceiving the public

Violations may result in:

* Account termination
* Reward cancellation
* Legal action

13. PRODUCT-BASED MODEL DECLARATION

BNOVA operates as a product-driven ecosystem where:

* Rewards are derived from real product transactions
* Rewards are not solely dependent on recruitment

14. DATA PRIVACY

The Company will:

* Collect and process user data for account management, transactions, and delivery
* Protect user data in accordance with applicable data protection laws

The Company will not sell user data without user consent.

15. SHIPPING & DELIVERY

* Delivery timeframe: 3 – 14 business days
* Subject to location and logistics providers

The Company is not responsible for:

* Courier delays
* Customs issues

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for:

* Financial losses
* Misinterpretation of the platform
* Third-party failures

17. FORCE MAJEURE

The Company shall not be liable for any failure due to:

* Natural disasters
* Government actions
* System disruptions beyond control

18. GOVERNING LAW

This Agreement shall be governed by the laws of Malaysia.

For international users, applicable local laws may also apply.

19. FINAL USER DECLARATION

“I confirm that I have read, understood, and agreed to all Terms and Conditions of BNOVA Worldwide without any coercion. I acknowledge that BNOVA is an e-commerce loyalty reward platform and not an investment scheme. I understand that all rewards are conditional, not guaranteed, and subject to actual system activity in compliance with Shariah principles.”
